Copart is acquiring ACV Auctions in a deal valued at approximately $1.9 billion, bringing one of the largest digital dealer-to-dealer wholesale marketplaces under the ownership of the salvage auction giant.
Under the agreement announced Sept. 10, Copart will pay $10.50 per share in cash for ACV, a premium of about 45% to ACV’s unaffected stock price. The transaction is expected to close by the end of 2026, pending regulatory and other customary approvals.
“This acquisition reflects a significant milestone in our growth strategy by creating an industry-leading end-to-end vehicle remarketing platform that is fully digital,” Copart CEO Jay Adair said. “ACV has built a differentiated, technology-driven marketplace that perfectly complements our extensive physical infrastructure and expansive buyer network.”
For dealers, the deal could create a broader vehicle remarketing platform. Copart said ACV will continue operating as an independent subsidiary with its existing leadership team while gaining access to Copart’s global buyer network and more than 250 physical locations.
The combination brings together ACV’s dealer-to-dealer wholesale marketplace and vehicle-data technology with Copart’s established salvage, whole-car and international remarketing operations. Copart said the goal is to create a full-spectrum digital vehicle remarketing platform spanning trade-ins, wholesale, salvage and resale.
