America's Car-Mart Inc., one of the largest publicly traded BHPH dealership groups in the United States, is negotiating with lenders over a potential sale as debt pressures and limited access to capital constrain its operations.
Bloomberg reported Oct. 20 that discussions include a possible sale through a court-supervised Chapter 11 process or a transaction approved by shareholders. No final decision had been announced, and the company was continuing negotiations with lenders. An Oct. 15 regulatory filing documented an extension of temporary lender relief through Oct. 22 while discussions continued.
The financial strain has already sharply reduced the company's vehicle sales. For the first quarter of fiscal 2027, ended July 31, America's Car-Mart reported retail sales of 2,450 vehicles, down 81.9% from a year earlier. Revenue fell 57.3% to $145.8 million, while vehicle inventory dropped to $35.2 million from $112.5 million.
CEO Doug Campbell attributed the decline primarily to capital constraints that limited the company's ability to purchase inventory and finance customer loans.
“This is a capital structure story, not a demand story,” Campbell said in the company's Sept. 9 earnings release. He also said resolving the company's capital structure remained its first priority.
At July 31, the company reported $623.9 million in total debt and $27.5 million in unrestricted cash. It also consolidated 60 dealership locations during fiscal 2026, reducing its store count from 154 to 94.
America's Car-Mart operates in 12 states, primarily serving customers in smaller communities who may have difficulty obtaining conventional auto financing. Its business combines used-vehicle sales with in-house financing, making access to capital important both for stocking vehicles and originating customer loans.
A sale or restructuring could change the company's ownership and operating structure, with potential implications for its dealerships, employees and customers. However, the reported negotiations do not establish that a transaction or bankruptcy filing will occur.
